    The Platform and Zorka.Agency’s Role

    3.1. Zorka.Agency operates a self-service platform that enables Brands to discover and book Creators and coordinates the commercial and operational process for Campaigns, including Creator confirmation, briefing, draft coordination, campaign tracking and reporting.

    3.2. Zorka.Agency may add, remove or modify platforms, regions, Creator categories and functionality from time to time.

    3.3. Creators available through the Platform are presented based on campaign history and available performance information. Zorka.Agency’s verification reflects campaigns previously run with a Creator; it is not a guarantee of future performance, availability, audience behavior, engagement, conversions or sales.

    3.4. Zorka.Agency coordinates the commercial and operational process with Creators, including confirming launch windows, campaign steps, briefs, drafts and reporting. Unless expressly stated otherwise in the Campaign Terms, Zorka.Agency does not own or control a Creator’s channel and does not guarantee that a Creator will accept a particular Order, publish at a requested time, maintain a particular audience or keep Content available beyond the period expressly agreed.

    3.5. Zorka.Agency does not guarantee uninterrupted or error-free operation of the Platform or any particular level of reach, views, engagement, conversions, sales or other commercial results.

    3.6. Nothing in these Terms creates an employment, partnership, joint venture, fiduciary or general agency relationship between Zorka.Agency and a Brand or between a Brand and a Creator. Any specific agency or commissioning arrangement must be expressly agreed in writing.

    3.7. Creator performance and publication are subject to the Creator’s own production process, availability and the rules and technical operation of third-party platforms.

    3.8. Zorka.Agency will use reasonable operational efforts to coordinate the Campaign as described in the Platform and Campaign Terms, but does not control a Creator’s independent editorial decisions or a third-party platform’s algorithms, moderation, monetisation, reach or availability.

  4. 04

    Accounts, Access and Security

    4.1. You must provide accurate, current and complete information when creating and using your Account, including your name, company name, work email, registration details, VAT/tax ID and billing information where requested. You must promptly update information that becomes inaccurate.

    4.2. You must be at least 18 years old and have legal capacity to enter into these Terms. You may not use the Platform if you are prohibited from doing so by applicable law.

    4.3. If you create an Account on behalf of a Brand, you are responsible for ensuring that you have authority to represent and bind that Brand.

    4.4. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Account. You must promptly notify Zorka.Agency of unauthorized access or suspected security incidents.

    4.5. One person or legal entity may not maintain multiple Accounts for the purpose of circumventing Platform rules, fees or restrictions.

    4.6. You must not share, sell, sublicense or transfer your Account or credentials, or allow a third party to use the Platform under your identity, except for authorized employees.

    4.7. We may request information reasonably necessary to verify your identity, authority to act on behalf of the Brand, business, product, billing details or legal eligibility to use the Platform. If you do not provide requested information, we may delay, reject, suspend or cancel the relevant Order or/and Account.

  5. 05

    Campaign Creation and Orders

    5.1. A Brand may browse available Creators, review available formats and pricing, select Creators and formats, specify a requested launch date/window, and submit an Order through the Platform.

    5.2. Unless these Terms or Campaign Terms state otherwise, there is no minimum Order value.

    5.3. Prices displayed on the Platform are indicative price ranges for the selected Creator and format, based on information available to Zorka.Agency from previous campaigns and other relevant information. The actual price may vary depending on the Creator’s current quotation and the applicable campaign requirements. The displayed range includes the applicable Creator fee and Zorka.Agency’s service fee. No additional Platform fee will be charged unless expressly disclosed to the Brand before the final Order Price is approved.

    5.4. After an Order is submitted, Zorka.Agency will contact the relevant Creator to confirm the actual price. By submitting an Order, the Brand approves in advance any final price that falls within the price range displayed on the Platform for the relevant Creator and format at the time of Order submission. A confirmed price within that range becomes the final Order Price for the relevant line without further approval, and Zorka.Agency will notify the Brand of it through the Platform and by email. If the confirmed price exceeds the displayed range, Zorka.Agency will communicate the proposed price to the Brand for approval, and the final Order Price will be established only after the Brand has expressly approved it. The price range displayed on the Platform at the time of Order submission does not, by itself, establish the final price payable by the Brand.

    5.5. Submission of an Order constitutes a booking request and does not, by itself, oblige the Brand to pay for the relevant Creator’s services at an unconfirmed price. The relevant booking will be confirmed once the Creator’s availability and launch window have been confirmed and the final Order Price has been established in accordance with Section 5.4. No invoice will be issued for the relevant line before that. Payment obligations and the commencement of production are governed by Section 7.

    5.6. The Brand must ensure that the brief, product information, target audience, requested timing, links, claims and other instructions are accurate, complete and lawful.

    5.7. Once a Creator has accepted an Order, any material change to the brief, format of deliverables, product, script, timing, claims or assets requires Zorka.Agency’s and, where relevant, the Creator’s agreement. Changes may require additional fees, additional production time or a new launch window.

    5.8. Zorka.Agency may decline an Order before it is confirmed if a Creator is unavailable, the requested Campaign is outside the Platform’s scope, the Brand has not provided required information, the proposed commercial terms cannot be agreed or Zorka.Agency reasonably identifies legal, reputational, operational, fraud or compliance concerns.

  6. 06

    Creator Confirmation and Launch Windows

    6.1. After an Order is submitted, Zorka.Agency reviews the Campaign and contacts the relevant Creator(s) to confirm their availability, the requested launch window and the actual price for the requested deliverables. Zorka.Agency then notifies the Brand of the confirmed price and, where it exceeds the displayed price range, requests the Brand’s approval in accordance with Section 5.4.

    6.2. Zorka.Agency aims to confirm the launch window with each selected Creator within three (3) Business days after Order submission. Zorka.Agency does not guarantee that every Creator will accept the requested date.

    6.3. A Creator’s listing, indicative price range, historical pricing or estimated availability does not guarantee that the Creator will accept a particular Order, confirm the requested launch window or offer services at a particular price. The final Order Price is established in accordance with Section 5.4.

    6.4. If a selected Creator cannot meet the requested launch window, or the confirmed price exceeds the displayed price range and the Brand does not accept it, the Brand may choose, as applicable: (a) another date with the same Creator; (b) a replacement Creator selected by the Brand from the Creators available on the Platform; or (c) removal of the affected line from the Order in accordance with the Platform rules.

    6.5. A replacement Creator is added to the Order at the price range displayed for that Creator and format at the time of selection, and the final Order Price for the replacement line is established in accordance with Section 5.4. Any price difference will be reflected in the invoice.

    6.6. If the Brand does not make a requested decision regarding the launch window, a replacement Creator or a confirmed price above the displayed range within five (5) calendar days after Zorka.Agency requests that decision, the affected line is removed from the Order, unless otherwise agreed by the parties. If no line remains, the Order is cancelled. No invoice will be issued for a removed line or for a cancelled Order.

    6.7. The Brand must respond to reasonable requests for campaign information, approvals and decisions without undue delay. A delay caused by the Brand may affect production or launch timing and does not automatically entitle the Brand to a refund.

  7. 07

    Payment, Invoicing and Taxes

    7.1. Unless otherwise agreed by the Parties, all amounts are quoted, invoiced and paid in US dollars (USD) by bank transfer to the bank account specified in Zorka.Agency’s invoice. No card payment or other online payment method is currently offered on the Platform.

    7.2. Once the availability and launch window of every Creator remaining in the Order have been confirmed and the final Order Price of each remaining line has been established in accordance with Sections 5 and 6, Zorka.Agency will issue one invoice for the Order covering the confirmed lines. Lines removed from the Order under Section 6 are not invoiced. The invoice will be sent to the billing email address provided by the Brand and made available in the Brand’s Account.

    7.3. Invoices are payable within seven (7) calendar days of the invoice date unless a different payment term is stated on the invoice. The Brand shall pay the full invoiced amount and bear all bank charges, including correspondent bank charges, so that Zorka.Agency receives the invoiced amount in full, and shall state the invoice number in the payment reference.

    7.4. Production of Content starts only after Zorka.Agency has received the invoiced amount in full; Zorka.Agency will notify the Brand once the payment has been received. The Brand may notify Zorka.Agency through the Platform that a transfer has been sent, but such a notification is not payment. If an invoice is not paid by its due date, Zorka.Agency may, after a reminder, cancel the Order and release the confirmed launch windows without liability to the Brand.

    7.5. The Brand shall provide its legal name, registration number, VAT/tax ID, registered address and PO number where applicable. These details are printed on the invoice as provided, and the Brand is responsible for their accuracy; an invoice that has to be reissued because of incorrect billing details does not extend the payment term.

    7.6. Unless expressly stated otherwise, all taxes, duties, withholding obligations and similar charges arising from the Brand’s use of the Services are the Brand’s responsibility. The Brand shall provide any documentation reasonably required for invoicing or/and tax compliance.

    7.7. Zorka.Agency may withhold, deduct or report amounts where required by applicable law. If a payment is recalled or reversed, is reasonably suspected to be fraudulent, or an invoice remains unpaid after its due date, Zorka.Agency may suspend the Order or/and Account and recover any amounts properly due.

  8. 08

    Campaign Deliverables and Standard Integration

    8.1. Unless Campaign Terms provide otherwise, a standard Content includes:

    • approximately 60–90 seconds of integration in a regular video;
    • a draft provided at least five (5) Business days before the planned launch, where applicable;
    • up to two (2) rounds of reasonable changes;
    • a view estimate based on the Creator’s historical campaign performance;
    • tracking of actual views for thirty (30) days after publication;
    • the video with Content remaining live for six (6) months, subject to the Creator’s control and the relevant platform’s rules; and
    • a thirty (30) day category/product non-compete as specified in the applicable Campaign Terms.

    8.2. The Campaign Terms determine the precise deliverables, format, placement, timing, links, call to action, usage rights, reporting scope and any category or competitor restrictions.

    8.3. A historical view estimate is an estimate only. Unless the Campaign Terms expressly provide a measurable guarantee, Zorka.Agency does not guarantee any minimum number of views, impressions, watch time, engagement, clicks, installs, leads, conversions, revenue or other performance metric.

    8.4. View counts and other metrics may differ across reporting tools and may be affected by platform methodology, invalid-traffic filtering, privacy settings, delays, algorithmic distribution or later adjustments by the platform. Zorka.Agency’s reporting will rely on the information reasonably available to it.

    8.5. A Creator’s obligation to keep Content live as stipulated in the applicable Campaign Terms is subject to the Creator’s control. A third-party platform may remove, restrict, demonetise, delay or otherwise affect Content. Unless the Campaign Terms or mandatory law expressly provide otherwise, such action does not automatically create a right to a refund or replacement.

    8.6. Where Zorka.Agency becomes aware of a material issue affecting an Order, it may notify the Brand and coordinate a commercially reasonable solution where practicable. No remedy is promised beyond the remedies expressly stated in the Campaign Terms or required by law.

  9. 09

    Brand Responsibilities, Briefs and Approvals

    9.1. The Brand must provide all Brand Materials in the required format and by the requested deadlines. The Brand is responsible for ensuring that the materials are accurate, lawful, current, non-misleading and suitable for publication.

    9.2. The Brand must ensure that all product descriptions, performance claims, testimonials, comparisons, offers, prices, discounts, landing pages, links, promotions and calls to action are substantiated and comply with applicable laws and social media platform policies.

    9.3. The Brand must disclose any material product limitations, eligibility requirements, geographic restrictions, subscription terms, recurring charges, trial conditions or other information necessary to prevent the Campaign from being misleading.

    9.4. The Brand must not instruct or pressure a Creator to make false, deceptive, unlawful, defamatory, discriminatory, infringing or otherwise prohibited statements, or to conceal a legally required advertising disclosure.

    9.5. The Brand is responsible for reviewing drafts and providing consolidated, specific feedback within the time stated in the Campaign Terms. A round of revisions means one consolidated set of reasonable comments. New requirements, a changed brief, contradictory feedback or changes after approval may be treated as additional work. Once the final draft of the Content has been delivered to the Brand in accordance with the Campaign Terms, the Brand may not require material changes unless the Parties agree otherwise.

    9.6. Approval of a draft of the Content does not transfer responsibility for the legality of Brand Materials or claims to Zorka.Agency. The Brand remains responsible for final product information and all claims or instructions it provides.

    9.7. If the Brand fails to provide materials, approvals or feedback on time, the launch date may be postponed. Zorka.Agency may treat the resulting delay as Brand-caused and may refuse a refund to the extent permitted by the Campaign Terms and applicable law.

  10. 10

    Advertising and Legal Compliance

    10.1. The Brand is solely responsible for ensuring that its products and services, advertising claims, Campaign instructions, landing pages and Brand Materials comply with all applicable laws and regulations in every jurisdiction targeted by the Campaign.

    10.2. The Brand must not use the Platform to promote products or services that are illegal, prohibited by applicable law, or rejected under Zorka.Agency’s internal compliance policies.

    10.3. If a product or service requires a license, permit, registration, certification or other authorization, the Brand must provide evidence of such authorization upon request and before launch.

    10.4. The Brand is responsible for substantiating advertising claims and ensuring that any required warnings, disclaimers, eligibility criteria and material conditions are included in the brief and the Brand materials. The Brand and Creator must comply with applicable advertising disclosure requirements and relevant platform rules. The Brand must not ask a Creator to omit or obscure a required sponsorship or advertising disclosure.

    10.5. Zorka.Agency does not undertake a full legal review of each product, claim, brief, landing page or deliverable unless expressly agreed in writing. Any operational review or moderation by Zorka.Agency does not constitute legal advice, regulatory approval or a guarantee of compliance.

    10.6. Zorka.Agency may request supporting documents or changes, pause a Campaign, reject materials, refuse publication coordination, cancel an Order or restrict an Account if it reasonably believes that a Campaign may breach law, social media platform rules, these Terms, third-party rights or Zorka.Agency’s compliance or reputational requirements.

    10.7. The Brand must promptly inform Zorka.Agency of any regulatory inquiry, complaint, product recall, material change to a product, legal restriction or other event that may affect the Campaign or the accuracy of its claims.

  11. 11

    Creator Content and Intellectual Property

    11.1. Each party retains ownership of intellectual property it owned or controlled before the relevant Order. No rights are transferred except as expressly stated in these Terms or the applicable Campaign Terms.

    11.2. The Brand retains its rights in Brand Materials. The Brand grants Zorka.Agency and the relevant Creator a limited, non-exclusive, royalty-free license for the term and scope reasonably necessary to use, reproduce, display, adapt technically and communicate the Brand Materials solely to plan, produce, publish, administer and report on the Campaign.

    11.3. The Brand represents and warrants that it owns or has obtained all rights, licenses, consents and permissions required for the use of Brand Materials and for the uses contemplated by the Campaign. The Brand must not provide materials that infringe intellectual property, privacy, publicity or other third-party rights.

    11.4. Ownership of Creator-created Content and the Brand’s rights to use, edit, repost, boost, advertise with, sublicense or otherwise exploit that Content are determined exclusively by the applicable Campaign Terms or a separate written license. The Brand receives only the rights expressly granted there. Payment for an integration does not by itself transfer ownership or grant unrestricted usage rights.

    11.5. Unless expressly granted in writing, the Brand must not edit Content in a way that changes its meaning, imply Creator endorsement of a different product, use Content outside the agreed channels or term, sublicence it, create derivative works from it, or use a Creator’s name, image, voice or likeness for separate paid advertising.

    11.6. The Brand must not remove copyright notices, attribution or other proprietary notices from materials where such notices are required by the applicable license or law.

    11.7. The Platform, its software, design, databases, Creator listings, filters, search tools, pricing displays, text, graphics, logos, compilations and other Platform materials are owned by or licensed to Zorka.Agency and are protected by applicable intellectual property laws. Access to the Platform does not transfer any ownership interest or grant a license beyond the limited right to use the Platform for its intended business purpose under these Terms.

    11.8. Unless separately agreed, Zorka.Agency may use campaign information and performance data to operate, secure, improve and administer the Platform and Services. Zorka.Agency may use aggregated or anonymized data that does not identify the Brand or an individual.

  12. 12

    Confidentiality and Communications

    12.1. Each party must protect non-public business, technical, financial, campaign and commercial information received from the other party and use it only for performing or administering the relevant relationship.

    12.2. Confidential Information does not include information that the recipient can demonstrate:

    • (a) is or becomes public without breach of a duty;
    • (b) was lawfully known before disclosure;
    • (c) is lawfully received from a third party without confidentiality restrictions;
    • (d) is independently developed without use of the disclosed information.

    12.3. A party may disclose Confidential Information to its employees, professional advisers, contractors and service providers who need to know it and are bound by appropriate confidentiality obligations, or where disclosure is required by law or a competent authority.

    12.4. Campaign communications, briefs, approvals, Order details and other electronic actions may be recorded and retained for service delivery, security, accounting, compliance and dispute-resolution purposes, subject to the Privacy Policy and applicable law.

    12.5. The Brand must not publicly disclose a Creator’s non-public rates, private contact information, confidential campaign terms or non-public performance information except as authorised by the applicable Campaign Terms or required by law.

    12.6. Notwithstanding the foregoing, the Brand agrees that Zorka.Agency may identify the Brand as Zorka.Agency’s client and may use the Brand’s name and/or logo solely for such purpose on Zorka.Agency’s websites and in its marketing materials. Any other uses of the Brand’s name and/or logo not otherwise described or contemplated herein shall require the Brand’s prior written consent.

  13. 13

    Anti-Circumvention

    13.1. The Platform is intended to facilitate transactions between Brands and Creators. If a Brand identifies, contacts, books or obtains access to a Creator through the Platform or through Zorka.Agency’s introductions, the Brand must not intentionally circumvent the Platform or Zorka.Agency to avoid applicable fees, payment procedures or agreed commercial terms.

    13.2. Prohibited circumvention includes, without limitation:

    • (a) requesting or exchanging direct contact details for the purpose of moving a transaction off-platform;
    • (b) arranging or making direct payment to a Creator for a transaction introduced through the Platform;
    • (c) encouraging or accepting a Creator’s proposal to bypass the Platform;
    • (d) moving a substantially similar or follow-on paid collaboration off-platform for the purpose of avoiding applicable fees; and
    • (e) using an affiliate, related entity, intermediary or another Account to do indirectly what these Terms prohibit directly.

    13.3. This Section does not prohibit a Brand from working with a Creator where the Brand can demonstrate a pre-existing, independent business relationship that was not obtained, introduced or materially facilitated through the Platform, provided that the Brand does not use the Platform to avoid fees for an introduced transaction.

    13.4. The restrictions set out in this Section 13 shall apply during the term of the Brand’s use of the Platform and for one (1) year after the date on which the Brand first identifies, contacts, books or otherwise obtains access to the relevant Creator through the Platform or through Zorka.Agency’s introductions. During this period, the Brand shall not directly or indirectly enter into or arrange any collaboration with such Creator outside the Platform for the purpose of circumventing Zorka.Agency or avoiding applicable fees or agreed commercial terms.

    13.5. If Zorka.Agency reasonably suspects circumvention, it may investigate, request relevant information, suspend the affected Account or/and Campaign and pursue remedies available under these Terms and applicable law.

  14. 14

    Cancellations and Refunds

    14.1. Refunds and cancellations are handled according to the status of the relevant Order and the applicable Campaign Terms.

    14.2. If Zorka.Agency or a selected Creator cannot deliver the confirmed Campaign slot for the agreed launch window, the Brand may be offered rescheduling, a replacement Creator or a refund for the affected slot, as applicable under Section 6 and the Campaign Terms.

    14.3. If the Brand cancels an Order after a Creator has commenced production, no refund will be available for the affected Order, except where a refund is expressly provided for under these Terms or the applicable Campaign Terms, the Creator is unable to deliver the confirmed Campaign slot as agreed, or a refund is required by applicable law.

    14.4. No refund is automatically due merely because the Brand changes its mind, the Campaign does not achieve expected performance, the Brand’s product or business circumstances change, the Brand delays its approvals, or a third-party platform changes its algorithm or policies, except where the Campaign Terms or mandatory law provide otherwise.

    14.5. Refunds, where approved by Zorka.Agency, will be made by bank transfer to the bank account from which the payment was received, unless applicable law requires otherwise.

    14.6. Bank charges may be deducted from a refund where permitted by law, except to the extent the refund is caused by Zorka.Agency’s material breach.

    14.7. The Brand must not initiate an unjustified payment recall or reversal through its bank as a substitute for the dispute process. This does not restrict the Brand’s statutory rights or its right to dispute an unauthorized or incorrect charge. If a recall or reversal is initiated, Zorka.Agency may provide transaction records to the banks involved and suspend further Orders while the issue is investigated.

  15. 15

    Platform Rules and Prohibited Conduct

    15.1. You may use the Platform only for legitimate business purposes connected with discovering Creators, placing Orders and launching Campaigns in accordance with these Terms. You must not use the Platform or any Platform data for a different purpose without Zorka.Agency’s prior written consent.

    15.2. You must not, and must not attempt to:

    • use the Platform for any unlawful, fraudulent, deceptive, abusive, defamatory, discriminatory or otherwise prohibited purpose;
    • infringe, misappropriate or violate intellectual property, privacy, publicity, confidentiality or other rights of Zorka.Agency, a Creator or any third party;
    • copy, reproduce, publish, distribute, sell, sublicense, lease, commercially exploit or create derivative works from the Platform or its Content, Creator database, listings, pricing information or other materials except as expressly permitted;
    • scrape, crawl, harvest, extract, index, download or systematically collect Creator profiles, contact details, prices, metrics or other Platform data by manual or automated means, including bots, scripts or scrapers, without Zorka.Agency’s prior written permission;
    • use Platform information to build or populate a competing database, marketplace, directory, product or service, or to benchmark or train a commercial product, except with Zorka.Agency’s prior written consent;
    • reverse engineer, decompile, disassemble, probe, test, or attempt to discover the source code, underlying structure, security measures or non-public functionality of the Platform, except to the extent such restriction is prohibited by law;
    • bypass or interfere with authentication, access controls, payment flows, booking rules, usage limits, security features or technical restrictions;
    • introduce malware, malicious code, harmful files, spam or unsolicited promotional communications, or interfere with the operation, integrity or security of the Platform;
    • impersonate another person or entity, misrepresent your identity or authority, submit false information, or manipulate Creator statistics, campaign data or reporting;
    • harass, threaten, abuse or unlawfully discriminate against Zorka.Agency’s personnel, Creators or other users;
    • use the Platform to send unsolicited mass communications or collect personal data for unrelated marketing;
    • circumvent applicable fees, payment requirements, Account restrictions, compliance controls or any other contractual protection;
    • use the Platform to promote a prohibited product or to instruct a Creator to publish unlawful or misleading Content;
    • assist, encourage or enable another person to do any of the above.

    15.3. Zorka.Agency may investigate suspected misuse and take proportionate measures, including removing content, rejecting or cancelling an Order, restricting functionality, suspending or terminating an Account, preserving relevant records and pursuing legal remedies. Where practicable and legally permitted, Zorka.Agency may provide notice of the action and an opportunity to clarify the circumstances.

    15.4. Nothing in this Section limits rights that cannot lawfully be excluded, including any mandatory rights under applicable competition, data protection or intellectual property law.

  16. 16

    Platform Availability and Changes

    16.1. Zorka.Agency may update, modify, suspend or discontinue the Platform, Creator listings, pricing displays, features or Services from time to time. Where a change materially affects an accepted and paid Order, Zorka.Agency will use reasonable efforts to address the effect in accordance with the Campaign Terms and applicable law.

    16.2. Zorka.Agency does not guarantee that the Platform will always be available, uninterrupted, secure or error-free. The Platform may be unavailable or affected by maintenance, technical failures, cyber incidents, internet outages, third-party service interruptions, force majeure events or other circumstances outside Zorka.Agency’s reasonable control.

    16.3. You must not interfere with or overload the Platform or use it in a way that could impair its availability or security for other users.

    16.4. Zorka.Agency may update these Terms from time to time. The updated version will be posted on the Platform with a new Last Updated date. Material changes may also be communicated by email, Platform notification or other reasonable means.

    16.5. Unless applicable law requires a different process, updated Terms apply from the date stated in the posted version to future use of the Platform and new Orders. Changes will not retroactively amend an accepted Order where that would require the Brand’s consent under applicable law.

    16.6. Continued use of the Platform after updated Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree to a material change, you must stop using the Platform and may contact Zorka.Agency about any active Orders.

  17. 17

    Suspension, Refusal of Service and Termination

    17.1. Zorka.Agency may reject an Order, remove a listing, pause / cancel a Campaign, limit Platform functionality, suspend an Account or/and terminate access if it reasonably believes that:

    • (a) these Terms or/and Campaign Terms have been breached by the Brand;
    • (b) information supplied by the Brand is false or incomplete;
    • (c) fraud, circumvention or unlawful conduct may have occurred;
    • (d) the Campaign creates legal, regulatory, security, reputational or operational risk;
    • (e) the Brand has failed to pay an amount due;
    • (f) the action is necessary to protect the Platform, a Creator, another user or/and Zorka.Agency.

    17.2. Where reasonably practicable, Zorka.Agency may request further information or allow the Brand to remedy a breach before taking action. Immediate action may be taken where necessary to prevent harm, comply with law, preserve security or address a serious or ongoing breach.

    17.3. The Brand may stop using the Platform and request Account closure, subject to outstanding Orders, payment obligations, record-retention requirements and any provisions intended to survive termination.

    17.4. Suspension or termination does not cancel payment obligations or other liabilities accrued before the effective date. Sections concerning intellectual property, confidentiality, anti-circumvention, disclaimers, limitation of liability, indemnification, dispute resolution and any other provisions that by their nature should survive will continue to apply.

  18. 18

    Disclaimers

    18.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

    18.2. Zorka.Agency does not warrant that:

    • (a) the Platform will be uninterrupted, error-free, secure or available at all times;
    • (b) a Creator will accept an Order or publish on a particular date;
    • (c) Content will achieve a particular number of views, engagement, conversions, sales or other results;
    • (d) Creator listings or performance data are complete or current in every respect;
    • (e) third-party platforms will keep Content available, distribute it in a particular manner or maintain their policies.

    18.3. Zorka.Agency does not guarantee views, reach, engagement, clicks, installs, leads, sales, revenue, return on advertising spend or any other commercial or performance outcome unless a specific guarantee is expressly agreed by the parties.

    18.4. Any estimates, examples, historical data, case studies or indicative performance figures are informational only and must not be treated as a promise of future results.

    18.5. Zorka.Agency is not responsible for decisions or actions taken by Creators or third-party platforms that are outside Zorka.Agency’s reasonable control.

    18.6. Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded or limited.

  19. 19

    Limitation of Liability

    19.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORKA.AGENCY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE PLATFORM OR SERVICES.

    19.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORKA.AGENCY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR ORDER OR CAMPAIGN WILL NOT EXCEED THE AMOUNT OF ZORKA.AGENCY’S SERVICE FEES ACTUALLY PAID BY THE BRAND IN CONNECTION WITH THAT ORDER OR CAMPAIGN.

    19.3. The limitations in this Section apply regardless of the legal basis of the claim and even if Zorka.Agency has been advised of the possibility of the relevant loss, subject always to applicable law.

    19.4. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

  20. 20

    Indemnification

    20.1. To the extent permitted by applicable law, the Brand will indemnify and hold harmless Zorka.Agency, its affiliates and their respective directors, officers, employees and contractors against third-party claims, losses, liabilities, damages, penalties and reasonable legal costs arising out of or relating to:

    • (a) the Brand’s products or services;
    • (b) Brand Materials and advertising claims;
    • (c) the Brand’s breach of these Terms and/or Campaign Terms;
    • (d) infringement of third-party rights by Brand Materials or/and Brand instructions;
    • (e) unlawful, misleading or non-compliant Campaign instructions or/and advertising claims;
    • (f) the Brand’s negligence, willful misconduct or/and violation of law.

    20.2. Zorka.Agency will give the Brand reasonable notice of an indemnified claim where legally permitted. The Brand must reasonably cooperate with the defense. Zorka.Agency may participate in the defense with counsel of its choice. No settlement that imposes an admission of liability or non-monetary obligation on Zorka.Agency may be entered into without Zorka.Agency’s prior written consent.

  21. 21

    Electronic Communications and Records

    21.1. Orders, checkboxes, approvals, payment authorizations, emails, Platform messages and other electronic actions may constitute legally binding records and, where permitted by applicable law, electronic signatures or evidence of consent.

    21.2. Zorka.Agency’s electronic records, transaction records, timestamps, Platform logs and campaign communications may be used as evidence of the relevant activity, subject to applicable law.

    21.3. You consent to receiving service-related, administrative, security, billing and campaign communications electronically at the email address or through the Account you provide. This does not override any applicable rules concerning marketing communications.

  22. 22

    Governing Law and Dispute Resolution

    22.1. The parties will first attempt in good faith to resolve any dispute through written notice and direct communication. The receiving party will respond within fifteen (15) days, unless a different mandatory period applies.

    22.2. These Terms and any dispute arising out of or in connection with them shall be governed by the laws of the Republic of Cyprus, without regard to its conflict-of-law rules.

    22.3. Any dispute not resolved amicably shall be submitted to the State Court of the Republic of Cyprus, unless mandatory applicable law requires otherwise.

  23. 23

    Privacy and Data Protection

    23.1. Zorka.Agency processes personal data in accordance with its Privacy Policy and applicable data-protection law. The Privacy Policy should be reviewed alongside these Terms and kept consistent with the Platform’s actual data practices.

    23.2. By creating an Account and using the Platform, you acknowledge that Zorka.Agency may administer invoicing and payments, billing, campaign, communications and technical information as necessary to provide the Services, prevent fraud, maintain security, process payments and comply with legal obligations.

    23.3. The Brand must ensure it has a lawful basis and all necessary notices, consents and permissions for any personal data it supplies to Zorka.Agency or/and a Creator.

    23.4. If the Platform allows connection to third-party social media accounts, any access to such accounts will be subject to the permissions granted by the user and the applicable third-party platform terms.

    23.5. Nothing in these Terms creates a data-processing arrangement that is not expressly agreed. If a Campaign requires one party to process personal data on behalf of the other, the parties must put any legally required data-processing terms in place before that processing begins.

  24. 24

    Third-Party Services and Platforms

    24.1. The Platform may integrate with or rely on third-party services, including banks and payment processors and social media/video platforms, analytics providers.

    24.2. Third-party services are governed by their own terms and policies. Zorka.Agency is not responsible for changes, outages, moderation decisions, algorithmic changes or other actions by third-party providers. Zorka.Agency is not responsible for third-party decisions or outages outside its reasonable control.

    24.3. A Creator’s Content may be removed, restricted, demonetized, delayed or otherwise affected by a third-party platform. Such action does not automatically create a refund right unless the parties agreed or applicable law expressly provide otherwise.

  25. 25

    General

    25.1. Entire agreement. These Terms and documents expressly incorporated into them constitute the agreement concerning use of the Platform, subject to any separately signed agreement that expressly overrides them.

    25.2. Severability. If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, if legally permitted, and the remaining provisions will remain in effect.

    25.3. No waiver. A failure or delay in exercising a right does not waive that right. A waiver is effective only if made in writing by the party granting it.

    25.4. Assignment. The Brand may not assign or transfer its rights or obligations under these Terms without Zorka.Agency’s prior written consent, except where prohibited by law. Zorka.Agency may assign these Terms to an affiliate or in connection with a reorganization, merger, sale of business or similar transaction, subject to applicable law.

    25.5. Force majeure. Neither party will be liable for delay caused by circumstances beyond its reasonable control, provided that this clause does not excuse payment obligations already due or obligations that cannot lawfully be excused.

    25.6. Independent contractors. The parties are independent contractors. No partnership, joint venture, employment, fiduciary or general agency relationship is created.

    25.7. No third-party rights. Except for persons expressly protected under the indemnification provisions, these Terms do not confer rights on a person who is not a party, unless applicable law provides otherwise.

    25.8. Language. If these Terms are translated, the English version will prevail to the extent permitted by law, unless the parties expressly agree otherwise in writing.
